Terms of Service

1. Agreement

By accessing dpdpacms.com or engaging with DPDPA CMS ("the Software"), you agree to these Terms of Service ("Terms"). If you are acting on behalf of a company or organisation, you confirm that you have authority to bind that entity. If you do not agree, please do not use the site or the Software.

2. About the Software

DPDPA CMS is self-hosted compliance management software designed to help organisations meet their obligations under India's Digital Personal Data Protection Act, 2023 ("DPDPA 2023"). The Software is deployed entirely within your own infrastructure. We do not host your data, and your organisation's personal data does not transit our systems.

3. Verify Before Trust: Free Evaluation

We offer a three-month evaluation period at no charge. During this period, we will install and configure the Software in your environment and provide reasonable setup support. At the end of three months, you may either:

  • Continue under a paid annual support engagement at terms we agree in writing; or
  • Stop using the Software with no further obligation.

There is no automatic billing, auto-renewal, or minimum commitment. We will contact you before the evaluation ends to discuss next steps.

4. Licence Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to install and use DPDPA CMS within your own internal infrastructure, solely for your organisation's own compliance purposes, during any active evaluation or paid period.

5. Restrictions

You may not, without our prior written consent:

  • Resell, sublicense, or otherwise transfer the Software or access to it;
  • Use the Software to provide compliance-as-a-service to third parties;
  • Reverse-engineer, decompile, or disassemble any part of the Software;
  • Remove or obscure proprietary notices within the Software;
  • Use the Software in any way that violates applicable law.

6. Intellectual Property

DPDPA CMS, including all code, documentation, and associated materials, is owned by DPDPA CMS [Entity Name]. Nothing in these Terms transfers any ownership or intellectual property rights to you. Your right to use the Software is limited to the licence granted above.

7. Support

During a paid engagement, we provide support as set out in your support agreement. During the free evaluation, we provide reasonable setup and configuration assistance on a good-faith basis. We do not guarantee specific response times during the evaluation period.

8. No Warranty

The Software is provided "as is" and "as available," without warranty of any kind, express or implied. We do not warrant that the Software is error-free, uninterrupted, or that it will satisfy every specific regulatory requirement applicable to your organisation. DPDPA CMS is a tool to assist your compliance programme; it does not constitute legal advice and does not guarantee regulatory compliance.

9. Limitation of Liability

To the maximum extent permitted by applicable law, our total cumulative liability for any claims arising under or in connection with these Terms is limited to the greater of: (a) the total fees paid by you to us in the twelve months preceding the claim, or (b) INR 10,000. We are not liable for any indirect, incidental, consequential, punitive, or special damages, even if we have been advised of the possibility of such damages.

10. Third-Party Services

Our website uses Google Analytics for usage analytics and Web3Forms for contact form processing. Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the practices of third-party service providers.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of competent courts in India.

12. Changes to These Terms

We may update these Terms from time to time. We will post the revised version on this page with an updated "Last updated" date. If you are an active customer or evaluation user, we will notify you of material changes by email. Continued use after the effective date constitutes acceptance.
